O'Leary, who will leave EMIS after nine years of service as chairman, will be succeeded by former KCOM Group chair Patrick De Smedt.
EMIS said De Smedt, who will officially join the group as a non-executive director on 1 January, has held a diverse portfolio of board appointments in public and private equity-backed companies varying in size up to multi-billion pound revenues.
His entire executive career has been spent in the software sector, primarily with Microsoft, across a range of management roles throughout Europe.
O'Leary said: "I am extremely pleased that Patrick has agreed to join our Board and to succeed me as chairman.
"Patrick has a wealth of experience of the UK and global technology sector as well as of public company governance, which makes him eminently well-qualified to help the executive team take EMIS to the next level."
At 1245 GMT, EMIS shares were up 0.2% at 1,118p.
