Annual Report and Notice of Annual General Meeting
Sigma, the PRS, residential development and urban regeneration specialist, announces that its Annual General Meeting ("AGM") will be held at 10.00am on Friday 26 March 2021 at 18 Alva Street, Edinburgh, EH2 4QG, and that the following documents have been mailed to shareholders or otherwise made available today:
Annual Report and Financial Statements for the nine month period ended 30 September 2020 ("Annual Report");
Notice of AGM; and
Form of Proxy.
The Annual Report, Notice of AGM and Form of Proxy are also available to view and download on the Company's website at www.sigmacapital.co.uk. Shareholders who require a hard copy Form of Proxy can contact the registrars, Link Group, on 0371 664 0300.
As mentioned in the Notice of AGM sent to shareholders, Sigma is closely monitoring the Coronavirus situation, including UK Government guidance and for the avoidance of doubt the guidance from the Scottish Government, and will continue to do so in the lead up to the AGM.
In light of the current government guidance as a result of the ongoing Covid-19 pandemic, the Company will be holding the AGM virtually as a "closed" meeting in accordance with The Corporate Insolvency and Governance Act 2020 (as amended by The Corporate Insolvency and Governance Act 2002 (Coronavirus) (Extension of the Relevant Period) Regulations 2020). Shareholders should not attend the meeting in person. Shareholders should bear in mind that any shareholder (or proxy appointed by a shareholder other than the Chairman) who does travel and seek to attend the AGM in person will be denied access based on the prevailing circumstances and, as a result, will not be able to participate in the business to be transacted at the AGM. This is in order to ensure the health and safety of shareholders and Sigma staff, which is our paramount concern.
In normal circumstances, the Board welcomes opportunities to engage with shareholders at the meeting and regrets that this is not possible in the circumstances. Shareholders can submit questions for the Company in advance of the AGM to [email protected] or in writing to the Company Secretary at 18 Alva Street, Edinburgh, EH2 4QG. The Company will endeavour to answer such questions, and will post those answers on the Company's website, as soon as practical after the AGM.
The Company will ensure that the minimum number of shareholders of the Company will attend the meeting to ensure that it is quorate.
