Proposed secondary placing Mitie Group plc (the "Company" or "Mitie")
GLAS Trust Corporation Limited (the "Selling Shareholder") announces its intention to sell up to 149,017,301 ordinary shares in the Company (the "Placing Shares") through a placing to eligible institutional investors by way of an accelerated bookbuild (the "Placing").
The bookbuild process will commence with immediate effect following this announcement and may close at any time at short notice. A further announcement will be made following the completion of the bookbuild and pricing of the Placing. Jefferies International Limited ("Jefferies") is acting as Sole Global Coordinator and Bookrunner in relation to the Placing (the "Bookrunner").
The interests of the Selling Shareholder are as follows:
Percentage of Issued Share Capital Immediately Prior to the Placing

The Placing Shares represent approximately 10.5% of the Company's issued share capital. Assuming all the Placing Shares are sold, the Selling Shareholder will, following completion of the Placing, have no remaining holding in the Company's issued share capital.
The price per Placing Share will be determined through an accelerated bookbuild process, the final number of Placing Shares to be placed will be agreed by Jefferies and the Selling Shareholder at the close of the bookbuild process, and the results of the Placing will be announced as soon as practicable thereafter. The timings for the close of the bookbuild process are at the absolute discretion of Jefferies.
Shares offered in the Placing over the aggregate value of £25 million remain subject to a lock-up agreement between Mitie and How Group Limited, as agreed following the acquisition of Interserve Facilities Management in November 2020. In the event demand for the Placing Shares exceeds an aggregate value of £25 million, Mitie's agreement to a waiver of the lock-up agreement in respect of such excess will be required but is expected.
The Company is not a party to the Placing and will not receive any proceeds from the Placing.
