General Meeting Results

 

Highlights:

 

-     All resolutions passed at the Company's General Meeting approving acquisition of Nordkalk;

-     Solid trading at both SigmaRoc plc and Nordkalk Oy in H1 2021 well ahead of H1 2020;

-     Good progress with Polish Merger review, with final decision expected swiftly;

-     Further progress on Group's ESG agenda with installation of 9,670 solar panels in Belgium; and

-     Group's H1 Results expected to be published on 23 August 2021.

 

General Meeting Statement:

SigmaRoc (AIM: SRC), the AIM quoted buy-and-build quarried materials group, is pleased to announce the results of its General Meeting held today at 11am at 56 Queen Anne Street, W1G 8LA, London. All resolutions proposed at the meeting were passed as presented in the table below.

The Board would like to thank all shareholders for their support for the business, both over the four years since our initial acquisition in 2017, and also for the most recent acquisition and associated fundraise which was supported by new and existing SigmaRoc investors. With the acquisition of Nordkalk we make another significant step forward in our evolution. The Group will achieve significant scale and a diversified footprint in multiple countries and markets. We will, however, maintain the core focus on quarried materials, produced, sold and managed locally as we welcome our sixth platform, in Scandanavia, the Baltic states and Eastern Europe.

A condition precedent to completion of the Acquisition is clearance by the Polish Merger Authority, OUKiK. Good progress has been made to date with the review of the application and we remain optimistic the review will be completed very swiftly.

The Group's trading has also continued to be in-line with management expectations. SigmaRoc generated revenues of £84.8 million and underlying EBITDA of £15.2 million in the six months to 30 June 2021 (unaudited), representing a like-for-like increase of 13 per cent. and 17 per cent. respectively over the same period in 2020. Nordkalk generated revenues of €144.6 million (approximately £126.5 million) and EBITDA of €36.0 million (approximately £31.3 million), representing an increase of 8 per cent. and 17 per cent. respectively over the same period in 2020. SigmaRoc underlying earnings per share for the six month period ended 30 June 2021 is expected to exceed 2.6 pence.

SigmaRoc has also made further progress with its ESG agenda by installing a further 9,670 ground-mounted solar panels at its operations in Soignies, Belgium. Together with the existing solar array the operations in Soignies will produce 4,000,000 kWh per year, decrease its annual CO2 emissions by 1,000 tonnes and source 30% of its electricity consumption from renewable sources.

A further update on the Group's progress will be given with its interim results which are currently expected to be published on 23 August 2021.
