AGM STATEMENT

 

JPMORGAN US SMALLER COMPANIES INVESTMENT TRUST PLC

Following the Annual General Meeting of the Company, which was held today, the Board is pleased to announce that all of the Ordinary Resolutions put to shareholders were voted on by poll and passed.  In addition, the following items of Special Business were also voted on by poll and passed which:

 

 

i)          allow the Company to continue in existence as an investment trust for a further five year period;

 

ii)         allow the Company to allot shares up to an aggregate nominal amount of £146,422 representing approximately 10% of the Company's issued share capital as at the date of the passing of the resolution;

 

iii)        allow the disapplication of pre-emption rights on the allotment of new shares; and

 

iv)        allow the Company to make market purchases of up to 8,779,467 ordinary shares, representing 14.99% of the Company's issued share capital as at the date of the passing of the resolution.
