AGM Date Change due to ongoing COVID-19 Restrictions

 

Ormonde wishes to advise that, in order to comply with the public health guidance from the Irish Government and applicable regulations in respect of the movement or gathering of persons for the purposes of preventing, limiting, minimising or slowing the spread of COVID-19, the Board of Directors of the Company has determined, in accordance with the provisions of the Companies Act 2014 (as recently amended to take account of the difficulties caused by COVID-19), that it is necessary to cancel the Company's Annual General Meeting ("AGM") convened for 17 September 2020. 

 

The AGM had been scheduled to take place at a physical venue in Dublin, Ireland, to facilitate maximum engagement with shareholders, however given the re-implementation of certain restrictions in Ireland, and the necessity for UK based directors to self-isolate after travel to Ireland to take part, this will no longer be feasible. 

 

It is intended for the re-convened AGM to be held virtually, taking advantage of and in accordance with recent amendments to company law allowing for fully virtual meetings. Shareholders will have the ability to participate in and vote at the meeting.  This change will require that the Company posts a new notice of AGM to shareholders, which will include details for access to and voting at the meeting.

 

As well as a delay to the AGM on account of COVID-19 related restrictions, the revised intention of the Company is to try to align the AGM meeting date with the date of an Extraordinary General Meeting ("EGM") due to be held later in 2020, relating to the transition of the Company's Central Securities Depositary ("CSD") from CREST to Euroclear Bank. This EGM is a Brexit related move from a UK domiciled to EU domiciled CSD as required by EU law to be made by all Irish-registered, publicly listed companies under the CSD regulation and to ensure their continued stock market listing.  The Company anticipates that the meeting will be held in November, with the exact date being dependent on progress on certain outstanding CSD related matters including necessary legislative changes and on a form of circular, for the use of individual issuers, being made available to the Company by market participant working groups engaged in the CSD migration project.  The Company will announce the date for the AGM and EGM as soon as possible.

 

In addition to the above, the Company wishes to advise that it intends to release its interim results announcement on 16 September, as planned, which will include an update on its activities.
