Result of Quarterly Tender Process

The Company wishes to announce that it has accepted the following elections from shareholders for its December 2019 Tender.

The Company received tender elections in respect of 2,455,926 Euro shares and 81,693,230 Sterling shares.
Euro Share Tender Elections
The total number of Euro share tender elections received has been accepted in full.
Sterling Share Tender Elections
A pro rata scaling back has been carried out in respect of the Sterling share tender elections received in respect of the December 2019 Tender. This is due to the Sterling tender elections received exceeding 24.99% of the Quarterly Restriction announced on 1 October 2019. As a result of the pro rata scaling back, the Company has rejected tender applications received in respect of 4,896,934 Sterling shares.
Certain shareholders have elected for any residual shares not purchased by the Company as part of the December 2019 Tender to be retained in escrow until the March 2020 Tender, at which point they will be eligible for repurchase by the Company in priority to shares subsequently tendered at the March 2020 Tender. The aggregate number of Sterling Shares that will be retained in escrow is 322,476.
