Total Voting Rights and Warrant Update

As at 31 January 2018, Premier Oil plc's issued share capital consisted of 767,080,382 Ordinary Shares of 12.5 pence with voting rights. Premier Oil plc does not hold any shares in Treasury.

The figure of 767,080,382 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Premier Oil plc under the FCA's Disclosure and Transparency Rules.

To date, the Company has allotted 11,446,699 Ordinary Shares as a result of the exercise of equity warrants, representing 1.49 per cent of the Company's enlarged share capital.

As at 31 January 2018, 13,761,802 warrants have been exercised on a cashless basis and a further 7,421,967 warrants have been exercised in cash.
