STANDARD CHARTERED PLC (the "Company")

ANNOUNCES CHANGES TO ITS BOARD

 

The Board of Directors (the "Board") of Standard Chartered PLC (the "Company") today announces a number of changes to its Board:

 

Mr Carlson Tong (aged 64) is to be appointed an independent non-executive director with effect from 21 February 2019. Carlson will also join the Board Audit, Board Risk and Board Financial Crime Risk Committees.

 

Dr Han Seung-soo (aged 82), an independent non-executive director since January 2010 and a member of the Brand, Values and Conduct Committee has decided to retire from the Board with effect from 23 February 2019 after serving nine years on the Board. 

 

Mr Om Bhatt (aged 67), an independent non-executive director since January 2013 and a member of the Board Risk and Brand, Values and Conduct Committee will step down from the Board with effect from 23 February 2019 after serving six years on the Board and given his inability to travel for some time hence.  

 

Carlson spent over 30 years at KPMG, where he was elected Chairman of KPMG China and Hong Kong in 2007, becoming Asia Pacific Chairman and a member of the global board and global executive team in 2009, before retiring in 2011.  While at KPMG he was actively involved in the work of the securities and futures markets, serving as a member of the Main Board and Growth Enterprise Market Listing Committee of the Stock Exchange of Hong Kong from 2002 to 2006 and as its Chairman from 2004 to 2006. 

Carlson was appointed a non-executive director of the Securities and Futures Commission in 2011, becoming its Chairman in 2012 until he stepped down in October 2018.  During his chairmanship, he oversaw the introduction of the Hong Kong and Shanghai/Shenzhen stock connect and the mutual recognition of funds between the mainland and Hong Kong. Carlson sits on a number of Hong Kong SAR government and statutory bodies, including as a non-executive director of the Airport Authority of Hong Kong, Chairman of the University Grants Committee and member of the Exchange Fund Advisory Committee.

Remuneration statement in relation to Carlson Tong

The independent non-executive directors do not participate in any of the Group's incentive arrangements.  Carlson Tong will receive a fee of GBP105,000 per annum for his services as an independent non-executive director, with an additional fee of GBP35,000 per annum as a member of the Audit Committee, GBP35,000 per annum as a member of the Board Risk Committee and GBP30,000 per annum as a member of the Board Financial Crime Risk Committee.  This is disclosed in accordance with the Rules Governing the Listing of Securities on the Stock Exchange of Hong Kong Limited (the "Hong Kong Listing Rules").

Carlson Tong has no relationship with any other Director, member of senior management or substantial or controlling shareholder of Standard Chartered PLC. 

Carlson Tong has an interest in 2,000 shares of the Company.

Save as disclosed above there is no other information to be disclosed under the requirements of UK Listing Rule 9.6.13 (1-6) and Rule 13.51(2) of the Hong Kong Listing Rules in relation to Carlson Tong's appointment which has been notified as necessary to the regulator.

There are no matters relating to the retirement of Dr Han Seung-soo or the resignation of Om Bhatt that need to be brought to the attention of the shareholders of the Company.
