APPOINTMENT OF CHAIRMAN DESIGNATE

 

Diploma PLC, the international group supplying specialised products and services to a wide range of end segments, is pleased to announce that, following a comprehensive selection process, it has appointed David Lowden as an independent non-executive director and Chairman-designate. David joined the Board as a non-executive director on 19 October 2021 and he will succeed John Nicholas as the Company's Chairman at the conclusion of the AGM on 19 January 2022 when John will stand down from the Board having completed nearly nine years of service.

 

David is currently Chairman of PageGroup plc, and is Senior Independent Director at both Capita plc and Morgan Sindall plc.  It is David's intention to step down from the PageGroup board before the PageGroup 2022 AGM. David was previously CEO of Taylor Nelson Sofres, and has been Chairman at Huntsworth plc and a Non-Executive Director at Berensden plc and William Hill plc.

Notes:

 

1.   David Lowden became a member of each of the Nominations Committee and Remuneration Committee on 19 October 2021 and will become Chair of the Nominations Committee at the conclusion of Diploma's 2022 AGM.

 

2.  The Directors have determined that upon appointment David will be independent.

 

3.  David Lowden will receive the following fees in line with the Company's Remuneration Policy:

 

·      Annual fee as a Non-Executive Director for the period from 19 October to 19 January 2022 of £53,000 pro-rata.

 

·      All-inclusive annual fee on appointment as Chairman from 19 January 2022 of £275,000.
