Appointment of Chairman

 

 

Biffa today announces that following a comprehensive external and internal search process, Ken Lever, non-executive Director and Chairman of the Audit Committee, has been appointed Chairman of Biffa with immediate effect. Ken has also been appointed as the Chairman of the Nomination Committee.   As a result of being appointed Chairman, Ken will step down as the Chairman of the Audit Committee.

 

Ken was appointed to the Board of Biffa as a non-executive Director on 28 September 2016, and since then he has played a key role in guiding the Group in its early life as a listed company.

 

Having begun his career with Arthur Andersen, Ken has served as a director with publicly listed companies since 1987, including McAlpine, Tomkins and as the CEO at Xchanging. He is currently Chairman of RPS Group plc, Senior Independent Director of Vertu Motors plc and non-executive Director of Blue Prism Group plc.

 

David Martin, who was appointed Chairman on an interim basis on 29 September 2017 following the sudden death of Steve Marshall, will revert to his previous role as Senior Independent Director. He will also act as Chairman of the Audit Committee on an interim basis. 

 

The Board has commenced a search for a further non-executive Director who has the relevant experience to be appointed to Chair the Audit Committee.

Notes

 

1.   The appointment of Ken Lever has been made by the Board on the recommendation of the Nomination Committee. The Committee comprises a majority of independent Non-Executive Directors.

2.   The Board has determined that Ken Lever is an independent Non-Executive Chairman on appointment in accordance with the UK Code on Corporate Governance

3.   Ken Lever will receive total fees of £180,000 per annum as Chairman of the Board. No additional fees will be paid as Chairman of the Nomination Committee, or as a member of the Audit or Remuneration Committees.

4.   Ken Lever has a Letter of Appointment which may be viewed by contacting the Company Secretary at the Company's registered office
