Vesting of Restricted Stock Units and PDMR Dealings

The Company announces that on 26 March 2020, restricted stock units ("RSUs") over 1,726,893 common shares of $0.0001 each in the Company ("Common Shares") vested for certain employees, including the PDMRs listed below, and ex-employees. This vesting triggered immediate tax liabilities that were satisfied by partial sales of the Common Shares. The net increases in shareholdings for the PDMRs are as follows:

The Company also announces that, on 26 March 2020, Mark Britto, Non-Executive Chairman, was issued 1,567,110 RSUs over Common Shares (the "Replacement RSUs"). These RSUs were issued to replace options over 2,052,457 Common Shares which were originally granted on 28 October 2016 and had an exercise price of USD$0.28 (the "Stock Options"). Mr. Britto was unable to exercise the Stock Options prior to their lapsing date of 15 March 2020 due to the Company being in a closed period ahead of the announcement of its audited preliminary financial results for the period ended 31 December 2019 ("Closed Period"). Accordingly, in order to replace the expired Stock Options, the Board, on the recommendation of the Board's Remuneration Committee, issued the Replacement RSUs on the expiry of the Closed Period. These Replacement RSUs have, in aggregate, the same economic value as the expired Stock Options and will vest on 1 September 2020 or within 10 days following the release of the Company's interim results for 2020.
