Grant of Options under Share Option Plan
Arena Events Group plc (AIM: ARE), announces that share options to acquire ordinary shares of 1 pence each in the Company ("Ordinary Shares") were granted to certain Persons Discharging Managerial Responsibilities ("PDMRs") under the Company's existing Share Option Plan put in place at the time of the IPO (the "Plan").
The award of options was granted to the following PDMRs at an exercise price of 68 pence per ordinary share, being the average closing price for the five trading days before the grant (the "Awards"):

The Awards shall vest only to the extent that the conditions set by the Remuneration Committee are satisfied and subject to the rules of the Plan. 75% of the Awards are subject to EPS performance conditions, measured over a three year performance period with the balance of 25% being at the discretion of the Remuneration Committee, based on its judgement of the successful integration of acquisitions closed during the period. To the extent that the performance conditions are not satisfied, the relevant part of the Awards shall lapse.
In addition, the Company has been notified that, on 5 October 2018, Greg Lawless, CEO, transferred 784,954 ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares") held by Gaitsford Investments Limited ("GIL"), an entity which is controlled by Greg Lawless, into his own name.
The transfer was effected through a sale by GIL and a simultaneous purchase by Mr Lawless at the same price per share. Following the transfer, there is no change to the total number of Ordinary Shares beneficially held by Greg Lawless which represents 4.4% of the total issued share capital.
