Publication of supplementary prospectus

Following the Company's announcements on 15 December 2017 and 12 February 2018, the Company announces today the publication of a supplementary prospectus (the "Supplementary Prospectus") containing the audited historical financial information in respect of the Schneider Electric Software Business for the six months ended 30 September 2017, in order to satisfy the requirements of Listing Rules 6.2.1R and 6.2.4R that the latest audited financials of the Schneider Electric Software Business should be made up to a date not more than 9 months earlier than the date of Admission.

Defined terms used in this announcement shall have the meaning given to them in the Prospectus published by the Company on 5 September 2017 (the "Prospectus").

The Supplementary Prospectus has been approved by the UK Listing Authority and is available on AVEVA's website, www.aveva.com, and will be submitted to the National Storage Mechanism, where it will be available for inspection at www.hemscott.com/nsm.do. Copies of the Supplementary Prospectus will also be available for inspection during normal business hours on any Business Day, free of charge, at the offices of Ashurst LLP, Broadwalk House, 5 Appold Street, London, EC2A 2HA, United Kingdom until the date of Admission.

The record date for the £650 million cash Return of Value to AVEVA shareholders is expected to be 6.00 p.m. (London time) on 28 February 2018 and the ordinary shares of AVEVA would be traded ex the right to the B Shares from 1 March 2018.
