Transfer of Listing Category, Conversion to UK REIT & Directorate Change

Picton (LSE: PCTN), announces that pursuant to the relevant resolution being passed by shareholders at the Company’s EGM on 23 July 2018, the Company’s listing category has been transferred as of 08.00 today from “premium listing (investment company)” to “premium listing (commercial company)”.

In addition, the Company has elected to join the UK REIT regime, bringing management and control to the UK. The first dividend distribution as a UK REIT will be in February 2019.

Board Changes

On 30 September, Robert Sinclair and Vic Holmes retired from the Board.Andrew Dewhirst has been appointed to the Board as finance director, having previously been finance director of Picton Capital. As announced on 6th August, Maria Bentley has also been appointed as independent non-executive director and chair of the Remuneration Committee. Both appointments are effective from 1 October 2018.

There are no additional matters that would require disclosure under LR 9.6.13 R (1) to (6) in relation to these appointments.
