Issue of Equity

Duke Royalty Limited (AIM: DUKE) announces the issue of 2,525,000 new ordinary shares of no par value ("New Shares")  to the Company's employee benefit trust in connection with the performance share awards ("PSA Awards") previously granted under the Company's LTIP for its financial year to 31 March 2019, as announced on 6 December 2019.  The issuance of the New Shares to the Duke Royalty Employee Benefit Trust (the "EBT") will be held by the EBT, and ownership of shares will be transferred to LTIP beneficiaries pending satisfaction of the relevant vesting period and performance criteria, pursuant to the Company's Long Term Incentive Plan ("LTIP").

Application will be made for the admission to trading on AIM ("Admission") of these 2,525,000 Ordinary Shares with Admission expected to take place at 8.00 a.m. on 23 June 2020 ("Admission").

Following Admission, the Company will have a total of 242,152,358 Ordinary Shares in issue carrying voting rights.  This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
