Exercise of Warrants, Total Voting Rights

Two Shields Investments plc, the AIM quoted investment company with a strategy to build a high quality portfolio of investments in fast growing and scalable digital and technology enabled businesses, hereby announces that on 1 August 2019, the Company received subscription notices exercising 36,244,841 warrants to subscribe for new ordinary shares in the Company at an exercise price of 0.1 pence per share ("New Shares").  These shares were allotted on the 8^th August 2019.

Application will be made for the new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur on or around 14 August 2019. On Admission the New Shares will rank pari passu in all respects with the Company's existing ordinary shares.

Total Voting Rights

Following Admission of the New Shares, the total issued share capital of the Company will consist of 3,445,172,896 ordinary shares.  As such the total number of voting rights in the Company will be 3,445,172,896 ordinary shares.  This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
