Application to issue shares

Further to the announcement made by Sirius Minerals Plc (the "Company") on 17 April 2018 regarding the results of incentivised conversion of convertible bonds, application has been made by the Company to the United Kingdom Financial Conduct Authority and the London Stock Exchange for 10,701,450 Ordinary Shares to be listed on the Official List and admitted to trading on the London Stock Exchange's main market for listed securities (the "Relevant Shares").  The new Ordinary Shares will be issued under the incentivised conversion of Bond Holders that were previously listed under the block listing facility. The expected admission date of the new Ordinary Shares is 24 April 2018. The new Ordinary Shares to be issued will rank pari passu with the existing Ordinary Shares.

In accordance with the requirements of the FCA's Disclosure Guidance and Transparency Rules 5.6.1AR and 5.6.2G, the Company confirms that the enlarged share capital of the Company following Admission will be 4,689,535,797 Ordinary Shares in aggregate, each with equal voting rights.  No shares are held in treasury.  The above figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Sirius Minerals Plc under the FCA's Disclosure Guidance and Transparency Rules.
